I assume you're using Xplorer360 and you're certain the flash drive is successfully formatted to FATX.
Messages like that tend to be generic errors and a typical cause is that either the file size is too big or the transfer path is simply too long for the FATX file system.
Is XBMC zipped or RARed? I'd put the file somewhere else on your PC to shorten the path as much as possible. Check that it is not double packed too ie. XBMC folder > XBMC folder > content it should just be XBMC folder > content.
Another cause can be FATX character support. It is not quite the same as Windows so if there are 'illegal' characters being used this can happen. I've always had trouble with XBMC and any python script files it may include in this respect.
BTW once you get it to the flash drive you can also get problems copying to the Xbox, particularly if you're using an UnleashX dash.
FTPing is always preferable not least because even a small XBMC zipped package is likely to be >60MB sometimes considerably more. It will take a very long time to copy to a flash drive.

thanks for your help so far ill have to try and work out were to place both the xbmc.zip and i assume xplorer360 app in a view to shorten this.
Thanks

You should not be risking a dodgy XBMC transfer to use as your main dash, which it what it sounds like you're doing.
A zip file not copying to the flash drive but its extracted contents do - that sounds unusual behaviour for Xplorer360. An error message is more common with an unzipped file set unless. as I suggested, the zipped folder is double level and that is making the copy path too long.
You need to describe your set up more and exactly what you're trying to do because, copying issues aside, it sounds as if whatever that is you're not doing it using the correct method.
Always FTP or copy via flash drive into a temporary folder and test that XBMC actually works from there using your file manager to launch the "default.xbe".
If it does not work then there is something wrong but, obviously, you won't have to remove the softmod at any point.
When copying stuff to the Xbox putting it in a temporary folder and testing from there should be recommended practice particularly if you're intending to update a main dash.
